TERMS & CONDITIONS

This agreement sets forth the understanding between Bora Concepts (“Company”) and the consenting party (“Athlete”) regarding, among other things, certain rights of Athlete to be licensed to Company.

1. NIL Use – Athlete gives Bora Concepts permission to use their name, image, and likeness (NIL) to promote merchandise, social media, and brand content.

2. Earnings – Athlete starts at 15% commission for each card sold. After 5 sales athlete is eligible to receive the 1/1 version of their first Bora card for unboxing and promotional content. After 10 sales, commission increases to 20%, and that rate remains in effect for future Bora card sales. After 20 total sales, Athlete earns a $50 cash bonus and unlocks the opportunity to be included in future Bora flagship products alongside top professional and collegiate athletes.

2A. Social Announcement – Bora Concepts will announce the partnership on its social media channels only after Athlete records their first sale, so social promotion is reserved for athletes who are actively engaging their audience.

2B. Listing Extension / Marketplace Status – Athlete’s Bora listing is active in 31-day sales windows. If Athlete records 5 or more eligible sales during a given 31-day sales window, excluding self-orders, the listing will remain live for an additional 31 days. If Athlete does not reach 5 eligible sales during that sales window, the listing may be removed from the marketplace and Athlete’s affiliation with Bora Concepts may end. Activity-based qualification rules are commonly used in commission and partner programs to maintain active participation.

2C. Payout – Athletes will receive a Bora Portal where they can view sales and request payouts on earned commissions and bonuses owed at any time.

1. Term & Exclusivity – This is a non-exclusive agreement. It begins when Athlete’s Bora First card goes live and continues until either party ends it with 30 days’ written notice.

2. Rights & Responsibilities – Athlete agrees to help promote the merchandise and provide timely feedback when needed. Bora Concepts agrees to design, promote, produce, and fulfill the merchandise.

3. Non-Compete Window – Athlete agrees not to sell or promote competing merchandise during the 14 days before and the 14 days after their Bora drop.

4. Disputes – If a disagreement arises, both parties agree to first attempt to resolve the matter through mediation. If mediation is unsuccessful, the dispute will be resolved through arbitration in Washington.

5. Taxes & Legal – Athlete is responsible for any taxes owed on commissions or bonuses received under this agreement. Both parties agree to comply with applicable NCAA, school, league, and NIL rules. Athlete retains ownership of submitted photos and content, but Bora Concepts may use that content while this agreement is active.

6. SMS Consent – Athlete agrees to opt in to receive text messages from Bora Concepts. Message and data rates may apply. Message frequency may vary. Athlete may opt out at any time by replying STOP or receive help by replying HELP.
